A Chinese company seeking a (M&A) must ensure that they have U.S. counsel that can thoroughly account for the Committee on Foreign Investment in the United States ("CFIUS"), which must be accounted for before any serious attempt to conduct a (M&A). Determining whether or not to conduct a merger or acquisition should also be clearly identified along with a thorough review of any potential legal issues that could emanate from the (M&A).
Different industries require specific adherence to industry-specific regulations, and the Chinese company must ensure that the organization is well versed about these regulations. Other variables that must be accounted for entail ensuring that the merger doesn't run afoul of the Foreign Investment and National Security Act of 2007 (FINSA).
