The Petitioner was the owner of all the stock of United Mortgage Corporation. This company held 1,000 shares of Monitor Securities Corporation. In order to transfer the shares to her name and save taxes to be paid on these shares, she brought about a reorganization of the company under section 112(g) of the Revenue Act of 1928 she organized Averill Corporation under the act and transferred the 1,000 shares to Averill.
