"Clickwrap" agreements are where a purchaser agrees to the terms of a contract by clicking on a dialogue box on screen. This is often seen when installing software, when downloading from the Internet or when purchasing on-line. Many of us have "assented" to such agreements while rushing through an installation or purchase without slowing down to read the many pages of legal language to which we are agreeing.

Courts generally uphold the validity of such "acceptances", even if the person clicking didn't actually read the agreement. However, under limited circumstances (just as is the case with all contracts) the effects of unfair or harsh terms within clickwrap agreements can be avoided. Such limited circumstances include when the terms are so unexpected and so shocking as to be "unconscionable", when enforcing the terms in question would be a violation of public policy or when a forum selection clause is unfair. This is straightforward as is asking you to about the number of times you have clicked to accept a clickwrap agreement without actually reading the terms of the agreement and why?

I am 'guilty' of this many times. However, in my own defense, I usually at least skim the agreement looking at the main ideas presented. However, since it is a contract, I should be reading the contract more carefully, obviously, before clicking acceptance. Recently, I experienced problems. I clicked on an agreement to accept a FREE training CD form the Video Professor and agreed to pay the postage and handling. Well, once the company had my credit card, I found miscellaneous charges for three months following. When I called, the person told me that I should have read the agreement more closely, that if I had, I would have realized that they were sending out 3 CDs, but the agreement states that ONLY one CD is free (3 CDs in one box) and I had 30 days to return two of the CDs. She asked me if I had clicked on a hyperlink, which I did not, if it was even there; ...
