Corporate governance is the system by which organizations are managed, directed, and controlled by the board of directors who are the ones responsible for the governance of their organizations. The stockholders appoint the directors and the auditors to assure themselves that a good governance structure exists in the organization. The board of directors set the strategic goals of the organization, leads and supervises the management of the business and regularly reports to the stockholders. The actions of the board are governed by laws, regulations and the things that the stockholders want and they are being expressed in the general meeting. (BNet.com)
