302:
This section makes it compulsory for the chief executive officer and the chief financial officer of the company to sign the financial statements and quarterly reports. These officers must confirm that they have reviewed these financial statements, and these financial statements are true. In addition, these persons are responsible for and have established internal controls, these controls are effective, and their opinions of these controls have been disclosed in the report. These officers must disclose to the auditors/audit committee deficiencies of internal controls and frauds. They must also point out the changes in internal controls and weaknesses of internal controls.
