I believe that adoption of the UCC was extremely beneficial, if not necessary. You see, America has what is generally referred to as a "common law" legal system. This means that, following British tradition (as opposed to, for instance, French) our courts are said to draw legal interpretation from the social norms of the area where the court is located. As such, the interpretation of existing law is determined not by the courts, but by the people. This has proven to work well for social and criminal law. However there is an economic problem when it comes to commercial law - this "common law" approach makes it hard for businesses to know what will be considered legal when they engage in commerce outside of their locality. Yet trade (business) is vital to the growth of the nation. So by adopting the UCC we codify - that is, we make clear - how commercial law is interpreted across the 49 states which have voted-in the UCC. This reflects what is called "civil law" and, in economic terms, enhances efficiency ...
